CodiCo offers web development services including but not limited to website design, web development, mobile development, website maintenance, and hosting. Specific terms and conditions may apply to particular services, which will be outlined in a separate agreement if necessary.

 

4. Use of the Site

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use and enjoyment of the Site. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Site.

 

5. Intellectual Property

All content, design, graphics, logos, and other materials on the Site are the intellectual property of CodiCo or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without express written permission from CodiCo.

 

6. User Content

Any content you submit to CodiCo, including but not limited to feedback, comments, and suggestions, will be considered non-confidential and non-proprietary. By submitting such content, you grant CodiCo a royalty-free, perpetual, irrevocable, and worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content.

 

7. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and disclose information that pertains to your privacy. By using our Services, you consent to our collection and use of personal data as outlined in the Privacy Policy.

 

8. Payment Terms

All fees for Services are due in accordance with the terms outlined in the specific service agreement or invoice. Payments must be made promptly and in full. CodiCo reserves the right to suspend or terminate Services if payment is not received on time.

 

9. Maintenance Service

Development Hours in the Maintenance Plan:

Development hours included in the maintenance plan are allocated on a monthly basis.

 

Accumulation and Transfer of Hours:

Unused development hours within a month do not carry over or transfer to subsequent months.

 

WordPress Theme and Plugins Update:

The “Middle” and “Professional” maintenance plans include basic updates for plugins, themes, and the core. However, they do not cover development hours required for adjusting previous customizations, plugins, or addressing unforeseen issues resulting from updates. Time-related expenses associated with these tasks are billed separately.

 

Website Speed Optimization:

All plans incorporate basic optimization, focusing on software configuration. However, adjustments requiring server configuration, limit increases, or hardware upgrades are not within Stylemix’s responsibility for optimizing website speed performance.

 

10. Automatic Renewal

Unless canceled through your personal account panel, your subscription will automatically renew. By renewing, you authorize us to collect the applicable annual or quarterly subscription fee (including any taxes) using any credit card or payment method we have on file.

 

If your subscription renews automatically, refunds for the current quarter are not available from the renewal date onwards. However, you will maintain access to your subscription benefits until the end of the current quarter billing period.

 

11. Subscription Cancellation Policy

When you decide to cancel a monthly subscription, please be aware of the following terms:

 

  • Cancellation Process: You must initiate the cancellation through your personal account panel. Our managers or support staff cannot initiate cancellation on your behalf.
  • Last Updated: Your cancellation will take effect at the end of your current month’s billing period.
  • Refunds: We do not provide refunds for any remaining period of your current month’s billing. However, you will retain access to your subscription benefits until the end of the current month.
  • Development Hours: Unused monthly hours will expire at the end of each month.

 

For annual subscriptions, please note the following specifics:

 

  • Refund Calculation: If you cancel an annual subscription, you will receive a refund for any unused months. The refund calculation deducts the value of the months already used from the total annual subscription amount at the monthly rate.
  • Development Hours: If you cancel an annual subscription after using the included development hours, no refund will be provided for those hours.

12. Development and Customization Service

Stability of Our Customizations:

We cannot guarantee the compatibility of customizations we have implemented if any of the following actions are taken:

 

  • Updating themes
  • Updating plugins
  • Updating WordPress
  • Any modifications or customizations made directly by the client
  • Migrating to different web hosting or server environments

 

Implementing any of the above actions may potentially cause certain aspects of our customizations to break or lose stability, despite our efforts to implement customizations within child themes, which typically safeguard against such issues.

 

Warranty Period:

We provide a one-month warranty period for customizations executed by our team. During this period, if any bugs or issues arise related to the customizations we implemented, we will rectify them free of charge. This warranty period begins from the project delivery date.

 

Post-Warranty Support:

Any bugs or issues reported after the one-month warranty period expires will be treated as new projects. Clients will be charged accordingly for addressing these issues.

 

13. Links to Third Party Sites

CodiCo Websites and/or the Services portrayed thereon may contain featured links to third party websites, advertisements, services, special offers, or other commercial or marketable entities on the internet (collectively referred to as “Third Party Sites”), which are neither owned nor controlled by CodiCo or its affiliates. By accessing or using these Third Party Sites, you acknowledge and agree that CodiCo and its affiliates do not endorse or assume any responsibility for the content, products, services, or activities offered by these Third Party Sites.

 

You understand and agree that your decision to access or use any Third Party Sites is at your own risk. CodiCo shall not be liable for any direct or indirect damages or losses arising from your use of Third Party Sites, including but not limited to, incidental or consequential damages. This disclaimer applies to any occasional or ongoing sponsors that CodiCo may endorse from time to time.

14. Section Headings

Section headings in this Agreement are provided for convenience only and do not affect the meaning or interpretation of any provision of this Agreement.

 

15. Assignment

This Agreement, including all rights and licenses granted herein, may not be transferred by any users to any third parties without prior written authorization and consent from CodiCo. You acknowledge and agree that CodiCo may transfer and assign these Terms to its affiliates, subsidiaries, or eventual successors without prior notice to you, and such assignment shall be effective upon completion.

 

16. Translated Versions

If you are reading this Agreement in a language other than its original language (U.S. English), the original U.S. English version shall prevail in the event of any discrepancies or differences in interpretation.

 

17. Termination

CodiCo reserves the right to terminate your access to the Site and Services, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

18. Limitation of Liability

In no event shall CodiCo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party. In no event shall CodiCo’s liability exceed the amounts paid by you to CodiCo in the current work.

 

19. Indemnification

You agree to defend, indemnify, and hold harmless CodiCo and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (iv) your violation of any law, rule, or regulation of the United States or any other country; (v) any claim or damages that arise as a result of any of your user content or any that is submitted via your account; or (vi) any other party’s access and use of the Services with your unique username, password, or other appropriate security code.

 

20. Governing Law

These Terms shall be governed and construed in accordance with the laws of the city in which CodiCo operates, without regard to its conflict of law provisions.

 

21. Dispute Resolution

These General Terms and Conditions apply under the current Irse legislation.

 

The contract that is concluded between the Company and you as a Customer is governed by the IR legislation and the international legislation that applies.

 

Any dispute falls under the jurisdiction of and will be disputed in the Irish courts.

 

Invalidity or unenforceability of possible provisions in these Terms and Conditions do not affect the validity or enforceability of other provisions in these Terms and Conditions, which will remain valid.

 

22. Entire Agreement

These Terms constitute the entire agreement between you and CodiCo regarding the use of the Services and supersede any prior agreements, whether written or verbal, between you and CodiCo concerning the Services.
